GuidePoint Security LLC Event Registration – Participant Terms and Conditions

These terms and conditions (the “Terms“) govern your registration for and participation in any event, conference, webinar, training program, or other gathering (each, an “Event“) organized, hosted, or sponsored by GuidePoint Security LLC or any of its affiliates (“GuidePoint“, “we“, “us“, or “our“). These Terms apply to all Event participants, including attendees, speakers, sponsors, and exhibitors. By registering for or attending a GuidePoint Event, you (“Participant” or “you“) acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are registering on behalf of another person, it is your responsibility to ensure that the person attending is aware of these Terms and accepts them. By completing the registration, you warrant that you have made the attendee aware of these Terms and that they have accepted them.

By registering for or attending an Event, you represent and warrant that your attendance complies with all applicable policies of your employer, including but not limited to policies regarding business entertainment, outside activities, and conflicts of interest. Nothing in these Terms or your attendance at an Event creates or implies any obligation to purchase services, enter into any business relationship, or any other commitment between you (or your employer) and GuidePoint.

If you do not agree to these Terms, you should not register for or attend any GuidePoint Event. Submission of a registration constitutes your acceptance of these Terms.

  1. Registration. A valid email address is required for all Event registrations. By registering, you certify that the information you provide is accurate and complete. GuidePoint Events are complimentary unless otherwise stated in the Event registration materials. GuidePoint reserves the right to cancel your registration at any time and for any reason, in its sole discretion and without liability. If you require special assistance, auxiliary aids, interpreters or other reasonable accommodations while participating in the Event, please contact us at the email address listed on the Event registration or as set forth in Section 19 below.
  2. Eligibility. You must be at least 18 years of age to register for and attend an Event unless otherwise specified. Certain Events may be invite-only, limited capacity, or restricted to specific communities. Registration for an Event does not guarantee admission if capacity or eligibility restrictions apply. You represent that you are not located in, or a resident or national of, any country subject to U.S. trade sanctions or embargoes or on any U.S. government restricted party list. GuidePoint may deny registration to any individual based on applicable trade compliance requirements. GuidePoint reserves the right, in its sole discretion, to deny registration or admittance to any individual without notice or explanation. Registration for an Event entitles you to admittance only. You are solely responsible for all costs associated with attending an Event, including travel, accommodations, and transportation.
  3. Credentials. You may be required to present identification and pick up a badge at the Event check‑in area before entering the Event. If badges are required for admittance, they must be worn and visible at all times while you are at the Event and during any activity associated with the Event. Badges may not be shared or exchanged with any person.  For virtual or hybrid Events, you agree not to share login credentials, record or redistribute any session content, or use the virtual platform in any manner that disrupts other participants.
  4. Cancellation. If you are unable to attend an Event for which you have registered, please notify GuidePoint as soon as practicable at the email address listed on the Event registration or as set forth in Section 19 below. Given that Events are invite-only or limited capacity, timely cancellation allows us to extend invitations to other participants. Cancellation of your Event registration does not cancel any hotel, travel, or other arrangements you may have made.
  5. Event Changes. GuidePoint, in its sole discretion, reserves the right to change any and all aspects of an Event, including but not limited to the Event name, themes, content, program, speakers, performers, hosts, moderators, venue, date, and time. GuidePoint shall not be liable for any delay, cancellation, or modification of an Event caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or orders, travel restrictions, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications outages, cyberattacks, or venue unavailability. In such cases, GuidePoint may postpone, reschedule, or cancel the Event without liability to participants.
  6. Event Conduct. GuidePoint is committed to providing a safe, productive, and welcoming environment for all Event participants, including staff, vendors, speakers, and sponsors. Participants must at all times: (i) conduct themselves in a professional, courteous, and respectful manner; (ii) treat all attendees, speakers, staff, vendors, and sponsors with respect; (iii) refrain from disruptive, offensive, threatening, or harassing behavior; (iv) comply with all applicable laws and regulations; and (v) follow all Event-specific rules and instructions provided by GuidePoint or venue staff, which, for Event sponsors, include the Vendor Code of Conduct. Participants who witness or experience behavior inconsistent with these standards should report such behavior to Event staff or to GuidePoint at the email address listed on the Event registration or as set forth in Section 19 below. GuidePoint reserves the right, in its sole discretion and without liability, to remove from any Event any individual whose conduct GuidePoint determines to be disruptive, unsafe, or otherwise inconsistent with these Terms. GuidePoint prohibits discrimination, harassment, and bullying against any person for any reason, including but not limited to age, ancestry, color, disability, national origin, race, religion, gender, sexual or affectional orientation, gender identity, physical appearance, political affiliation, marital status, veteran status, or any other characteristic protected by applicable law. Unauthorized solicitation, guerrilla marketing, or similar promotional activities are strictly prohibited at GuidePoint Events. Only authorized sponsors and exhibitors may conduct marketing or promotional activities within the Event space. GuidePoint reserves the right to remove any individual engaged in unauthorized solicitation without liability.
  7. Safety. GuidePoint reserves the right to implement any security measures it deems necessary to ensure the safety of Event participants without prior notice, including but not limited to inspections or scans of any participant’s person, clothing, bags, containers, or other items. Firearms, explosives, weapons, and hazardous materials are strictly prohibited at the Event venue and during any activity associated with the Event. You should not leave bags or other personal property unattended at the Event venue. Unattended property may be removed, and GuidePoint will not be responsible for any loss or damage of any kind relating to such removal. GuidePoint reserves the right to implement health and safety protocols for any Event as circumstances require, including in response to public health guidance from applicable authorities. Participants are expected to comply with all such protocols as a condition of attendance.
  8. Alcoholic Beverages. Alcoholic beverages may be available at certain Events. If alcohol is served, you must be of legal drinking age to consume it and are solely responsible for your consumption and resulting behavior. GuidePoint assumes no responsibility or liability for any consequences arising from alcohol consumption at an Event.
  9. Damages. You are responsible for any damage you cause to the Event venue, GuidePoint equipment, or property belonging to other attendees, sponsors, or third parties. GuidePoint reserves the right to recover the costs of repair or replacement from you. You agree to indemnify, defend, and hold harmless GuidePoint, its affiliates, officers, directors, employees, agents, sponsors, and vendors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or resulting from (i) your acts or omissions at the Event, including any violation of these Terms; (ii) your negligence or willful misconduct; or (iii) any damage to the Event venue, GuidePoint property, or third-party property caused by you.
  10. Photography, Recording, and Media. By registering for or attending an Event, you grant GuidePoint Security a perpetual, irrevocable, royalty-free, worldwide, transferable license to use, reproduce, modify, adapt, publish, display, distribute, publicly perform, and sublicense your image, voice, likeness, and any statements captured at the Event. This includes incorporating content into any format or medium and creating derivative works. The license allows use of Event media content for GuidePoint’s business purposes, and you will not receive any compensation, royalties, or payment for the use of your captured image, voice, likeness, or statements. Without limiting the foregoing:You agree that by registering for or attending an Event, you waive any and all rights to: (i) inspect or approve the finished materials or receive compensation for their use; (ii) assert any claims related to the use of your image, voice, or likeness; or (iii) claim defamation, invasion of privacy, or violation of publicity rights (except for intentional misrepresentation). You release GuidePoint, its affiliates, Event sponsors, and their respective officers, employees, and agents from any and all claims, damages, or liability arising from the capture or use of your image, voice, likeness, or statements. Due to the prevalence of personal recording devices, GuidePoint disclaims all liability for the capture of your image or likeness in any multimedia format by other Event attendees. GuidePoint may use social media platforms to post photographs and video from Events in real time. Participants are encouraged to share their Event experiences on social media, subject to the following: (i) content must not infringe upon the rights of any attendee, sponsor, third party, or GuidePoint, including but not limited to defamation or infringement of intellectual property rights; (ii) posts must not violate any laws or ethical standards, and must not be used in a false or misleading manner; and (iii) all posts should make clear that you are speaking and posting on your own behalf. Participants may take photographs and capture digital images for personal, non-commercial use only, provided such activity is not disruptive to the Event. Audio and video recording of GuidePoint presentations, sessions, and proprietary content is strictly prohibited unless express written consent has been obtained from GuidePoint in advance.
  11. Waiver and Release. In consideration of being permitted to register for and attend the Event, you represent and warrant that you are of legal age in your jurisdiction and voluntarily assume all risks associated with your participation, including but not limited to risks related to travel, physical activity, interaction with other attendees, and exposure to communicable diseases. To the maximum extent permitted by applicable law, you hereby release and discharge GuidePoint, its affiliates, members, employees, officers, directors, board members, agents, sponsors, and volunteers (collectively, the “Released Parties”) from any and all claims, demands, actions, causes of action, damages, losses, costs, expenses, and liabilities of any kind (including reasonable attorneys’ fees) arising out of or related to your participation in the Event, including but not limited to personal injury, illness, disability, death, or property damage or loss, unless caused by the sole gross negligence of GuidePoint. This waiver and release is binding upon you and your heirs, executors, administrators, and assigns and is knowingly given.
  12. Government Attendees If you are a government official, employee of a government agency, state-owned or state-controlled entity, or employee of a public international organization (“Government Attendee”), you represent and certify that: (i) you have taken all steps required to attend the Event and receive any items of value provided in connection with the Event in compliance with all laws, regulations, and employer policies applicable to you, including, as applicable, obtaining the approval of your supervisor and/or a relevant ethics or legal office; (ii) you have disclosed or declared your attendance and receipt of any items of value as required by applicable rules or policies; (iii) you are not aware of any actual or potential conflict of interest that would prohibit your attendance at the Event or receipt of any items of value provided in connection with the Event; and (iv) GuidePoint’s invitation to attend the Event does not constitute any expectation of payment to or by GuidePoint, nor does it create any actual or implied obligation on behalf of any government entity. GuidePoint complies with all applicable anti-corruption and anti-bribery laws. GuidePoint prohibits offering or providing anything of value to any person for an improper purpose. GuidePoint may require Government Attendees to complete a compliance certification at registration, and registration may not be processed without such certification.
  13. Badge Scanning. Event sponsors, exhibitors, and other third parties may request to scan your badge or otherwise collect your personal information at their booths or presentations. Providing your information to such third parties is entirely voluntary. You should review the privacy policies of any third party to whom you provide personal information. When you present your badge for scanning or otherwise provide personal data to a non-GuidePoint entity, that information is subject to that entity’s privacy practices, and GuidePoint accepts no responsibility for how such third parties use your personal information.
  14. Speakers. If you agree to serve as a speaker at an Event, you acknowledge that GuidePoint may share your name, photograph, biographical information, employer, professional contact information, and links to your professional profiles (e.g., LinkedIn) with Event attendees and on the Event website for informational and promotional purposes. Speakers may be asked to execute a separate content license or release agreement prior to their presentation.  The views expressed by any Event attendee, speaker, exhibitor, or sponsor are not necessarily those of GuidePoint. All attendees, speakers, exhibitors, and sponsors are solely responsible for the content of their own presentations, marketing materials, and statements.
  15. Materials. All intellectual property rights in and to the Event, Event content, and all materials distributed at or in connection with the Event are owned by GuidePoint and/or the Event sponsors or speakers presenting at the Event. No license or right to use any such intellectual property is granted by virtue of your attendance, except as expressly stated in these Terms. You may not use or reproduce, or allow anyone else to use or reproduce, any GuidePoint trademarks (including without limitation “GuidePoint Security,” “GuidePoint,” or any associated logos) or other trade names appearing at the Event, in any Event content, or in any materials distributed at or in connection with the Event for any reason without GuidePoint’s prior written consent.
  16. Use of Personal Data. Our collection, processing, and use of your personal data in connection with Events is described in detail in our Event Privacy Notice. In the event of a conflict between these Terms and the Event Privacy Notice regarding data use, the Event Privacy Notice will control.
  17. Disclaimer of Warranties; Limitation of Liability.  GUIDEPOINT DISCLAIMS ALL WARRANTIES IN RESPECT OF ANY ASPECT OF THE EVENT OR ANY MATERIALS RELATED THERETO OR OFFERED AT THE EVENT AND, TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND MERCHANTABILITY. GUIDEPOINT DOES NOT ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR YOUR OR ANY OTHER PERSON’S RELIANCE ON ANY ASPECT OF THE EVENT OR ANY INFORMATION PROVIDED AT THE EVENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (I) IN NO EVENT SHALL GUIDEPOINT OR THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE EVENT OR THESE TERMS; AND (II) GUIDEPOINT’S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING IN CONNECTION WITH THE EVENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED TEN DOLLARS ($10.00).
  18. General. These Terms, together with the Event Privacy Notice and any Event-specific terms communicated at the time of registration, constitute the entire agreement between you and GuidePoint with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to your registration for or attendance at the Event. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your participation in an Event shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to the personal jurisdiction and venue of such courts. GuidePoint reserves the right to modify, amend, or update these Terms at any time in its sole discretion and without prior notice. Any changes will be effective upon posting of the revised Terms to the GuidePoint website or other communication to you. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
